WILSE MORGAN ARRL SCHOLARSHIP FUND

A scholarship fund was setup with the ARRL Foundation to honor the memory of former SDXA member Wilse Morgan (WX7P) of Rice, WA. This fund gives $1000 per year to a deserving young ham residing in the Northwestern Division of the ARRL, headed by Director Jim Fenstermaker K9JF.

PREVIOUS CONSTITUTION dated August 5, 2011

SDXA Constitution (Updated August 5th, 2011)

ARTICLE I – Name and Purpose

Section 1 – This organization shall be known as the Spokane DX Association (SDXA).

Section 2 – The purpose of this Association is to bring together those radio amateurs interested in the serious endeavor of working DX, DX contesting and HF operations, to enhance the DXCC totals of the members, to promote good DX operating practices, and to enjoy the fellowship of like minded individuals. Visitors with an interest in DXing and/or contesting and/or HF operations shall be welcome at meetings.

ARTICLE II – Membership

Section 1 – Charter members shall be those persons attending the March 24, 2002 organizing committee meeting, and those meeting the criteria of Sections 2 or 3 and who have presented their membership applications at the first Association meeting. Charter members do not have any special privileges.

Section 2 – DXCC membership is open to those licensed amateur radio operators who state on the membership application they hold an ARRL DX Century Club (DXCC) membership or the equivalent or have achieved such. The current officers will review the applicant that they show genuine interest in meeting the intent of the purpose of the club.

Section 3 – Non-DXCC membership shall be granted to those stating on the membership application they are genuinely involved in DXing, DX contesting, or HF operations and will continue the process of contacting additional entities and collecting the confirmations or in operating contests in a consistent manner. Non-DXCC members can become DXCC members by meeting the criteria in Section 2. The current officers will review the applicant that they show genuine interest in meeting the intent of the purpose of the club.

Section 4 – All DXCC and non-DXCC Members shall have an equal vote. Proxies are not to be recognized. In order to maintain ARRL affiliation, all voting Members are encouraged to be ARRL members also.

Section 5 – The Bylaws shall provide for the payment of annual dues by DXCC and non-DXCC Members, but not by Honorary Members. Dues payable at the time of initial application for membership will be pro-rated. Dues are payable pursuant to the following requirements:

A. DXCC and non-DXCC Membership
1. Pays regular annual dues.

B. Honorary Membership
1. An amateur may be made an Honorary (non-voting) Member by a majority vote of the Officers.
2. Honorary members pay no dues.

C. Family Membership
1. Two or more members or applicants, each meeting the criteria of a DXCC or non-DXCC Member, must reside in the same household.
2. One amateur pays regular annual dues, and all other amateurs who are Family Members are eligible for family membership and annual dues payable at 50% of the regular annual dues.
3. Family Members shall have the same voting rights as DXCC or non-DXCC Members, as appropriate.

D. Waiving of Dues
1. The Officers, at their discretion, may waive the annual dues for any member based on hardship or special circumstances.
2. Dues will be waived for any member less than 19 years of age.

Section 6 – Any Officer or Member may be removed by a motion made at a regular meeting by any member, and carried by a majority of the members present, and then subsequently carried by a two-thirds vote of the members present at the following regular meeting. A (good faith) attempt will be made to contact the Officer or Member and opportunity to present their side of the issue at the following meeting.

ARTICLE III – Officers

Section 1 – The Officers of this Association shall consist of a President, a Vice President, a Secretary, and a Treasurer, who shall be
elected, as provided below, for one-year terms. Additionally, the most immediate past-President shall be an officer.

Section 2 – Any vacancies occurring between elections shall be filled at the club’s discretion, by a majority vote of the remaining Officers for the balance of the term of the subject vacancy.

Section 3 – Nominations for Officers shall be made at the November membership meeting. The Nominating Committee shall present their nominees, and additional nominations may be made from the floor. In the event that there are no nominations from the floor for one or more positions, the nominees of the Nominating Committee shall be declared elected by voice acclamation at the November meeting.

Section 4 – Officers are to be elected by voice acclamation at the regularly scheduled November meeting. Officers elected by vote at the November meeting will take office on 01 January the following year.

ARTICLE IV – Duties of the Officers

Section 1 – The President shall preside at all meetings of the Association and shall enforce due observance of this Constitution and Bylaws, decide all questions of order, and perform all other duties customarily pertaining to the office of the President. Informality
shall be emphasized.

Section 2 – The Vice President shall assist the President in all matters of the Association and shall act in the President’s behalf in his/her absence. Additionally, utilizing the resources of the membership, the Vice President shall endeavor to schedule a program for each
meeting whenever appropriate.

Section 3 – The Secretary shall be sure all correspondence on behalf of the Association and awards issued by the Association as
directed are done in a timely manner. The Secretary shall be sure minutes of meetings of the Association Membership are published and maintained. The Secretary shall be sure timely submittals to the sponsoring bodies of contests consisting of those members who participated in the event as necessary to post a “club score” are done.

Section 4 – The Treasurer shall be sure a maintained roster of Members is published, be custodian for all Association funds, establish and maintain a bank account in the name of the Association, and be sure monthly bank reconciliation and a monthly statement of income, expenditures, and asset balance are done.

ARTICLE V – Committees and Appointed Positions

Section 1 –
The Nominating Committee shall be appointed by the President.

Section 2 – Any additional committees of one or more members may be appointed by the President to serve as needed.

ARTICLE VI – Meetings

Section 1 – The Bylaws shall provide for regular and special membership meetings. One quarter (1/4) of the members in good standing in attendance at any meeting shall constitute a quorum for the transaction of official Association business.

ARTICLE VII – Amendments

Section 1 – The Constitution and/or Bylaws may be amended by a two-thirds vote of the voting members present at a regular meeting.
Proposals for amendments offered shall be submitted and read at a regular membership meeting, and shall be discussed and voted on at the following regular membership meeting.

BYLAWS

ARTICLE I – Dues
Dues for all DXCC and non-DXCC members shall be determined by the current Officers, with a suggested rate of $20.00 per year payable at the January meeting, and must be paid within two months in order for a member to remain in good standing. Any member not remitting dues by the March meeting will be dropped from the membership roster. Pro-rating suggestion for the remainder of the year for new members would be $2 / month.

ARTICLE II – Regular Meetings
Regular membership meetings shall normally be held on the first Thursday of each calendar month. The meeting place for regular monthly membership meetings shall be determined by the Officers.

ARTICLE III – Expenditures
Expenditures of Association funds of $100 or less may be authorized by the President or Treasurer. Expenditures of over $100, but not more than $300, must be authorized by a majority of Association Officers. Expenditures of over $300 must be authorized by a majority of the members in attendance at any regular membership meeting. All expenditures must be within the current budget unless it’s an emergency expense.
